Rules of SAM Platform
The present Rules (hereinafter referred to as the Rules of SAM Platform or the Rules) will regulate the algorithm of registration, publication and funding of the Projects with the help of the services and functions of the resource located at the following URL-address: http://SaveArmyMan.com. SAM Platform is administered by the PUBLIC UNION “NATIONAL HERO” (hereinafter referred to as the Administration of SAM Platform or the Organization).
1. Key Terms and Definitions
For the purpose of a unified application and interpretation of the provisions of the present Rules, we shall use the following terms:
SaveArmyMan Worldwide Platform for Strong Ideas or a SAM Equity Crowdfunding Defense Platform (hereinafter referred to as the Platform or SAM Platform, or the Resource) – is an Internet resource / a website that is located at the following URL-address: http://SaveArmyMan.com, and that operates on the basis of a program (programs) for ECM (Electronic Computing Machines) and is aimed at publication and exchange of information, as well as for execution of other tasks. Apart from ECM programs, other integral parts of the Platform include user's interface, signs for products and services and logos, design of the pages, the accumulation of information published on behalf of or by the order of the Administration of the Platform, content of the participants and third parties, as well as other objects of intellectual property right.
Participant – a physical or legal person that has visited the webpages of the Platform and/or has used at least one function or at least one of the services of the Platform.
Identification (Registration) of the Participant – a fixed course of action after the fulfillment of which the Participant is assigned with an individual password and login, as well as receives a newly-created individual user account. The Identification of the Participant allows to identify a specific person. Identification is a compulsory requirement required to receive an unlimited access to the services and functions of the Platform. Identification can be completed with the use of the active registrations of the Participant in certain social networks that are indicated as available in the Identification section.
Project – a vital and/or new idea of non-lethal nature that belongs to the Author and is submitted for review by the Organization in order to be published on the Platform. A Project has to fit into the scope of activity of the Platform: saving the life of an Army Man; accommodation and living conditions of an Army Man; rehabilitation of an Army Man; physical, cultural and spiritual education of an Army Man; safety of the family of an Army Man.
Author – a Participant that has a user account (who has identified himself) on the Platform and that provides the Organization with the information about the Project for further registration, review and publication of the Project on the Platform.
SAM Strong Idea (a Strong Idea) – a Project that has a clear-cut objective, a well-structured plan of implementation and is published on the Platform.
SAM Author (Author of a SAM Strong Idea, Author of a Strong Idea) – a physical or legal person that has concluded an Agreement with the Organization and that has taken up a responsibility to implement a SAM Strong Idea according to a concluded Agreement. Author of a SAM Strong Idea can be an Author or a representative of the latter. A person having certain civil rights restrictions due to age cannot become a SAM Author. That kind of individual can implement his Project via a representative.
SAM Volunteer – a Participant that makes charitable contributions to a specific SAM Strong Idea via the Organization and/or via the Platform.
SAM Businessman – a Participant that has confirmed his intentions to:
– become a business partner of a SAM Author in the process of implementation of a Strong Idea and receiving dividends or other rewards;
– reinforce a Strong Idea with a sum that equals to or exceeds the established numeric barrier.
SAM Charity Idea (a Charity Idea) – a Strong Idea that is published on the Platform and whose Author does not plan to make a profit out of its implementation.
SAM Business Idea (a Business Idea) – a Strong Idea that is embodied in a business plan and whose SAM Author plans to make a profit out of its implementation.
Contribution – a sum of money that is donated by SAM Volunteer via an acquiring service available on the Platform with an objective of its further transfer to a Strong Idea chosen by SAM Volunteer.
Guaranteed Contribution – a sum that is assigned by the Moderator of the Platform to SAM Businessman in the settings of the project and that is not deposited via the acquiring service available on the Platform.
Application Form – an electronic registration document available on the Platform for a compulsory completion by the Author of a Project.
Moderator of the Platform – a user that is chosen by the Administrator of the Platform to accompany the determined Application Forms and Projects of the Author or the Strong Ideas of SAM Author.
2. General Provisions
2.1. The use of the Platform is allowed only to those Participants who have accepted all terms and conditions of the present Rules, the terms and conditions of the Participant Agreement that is located at http://savearmyman.com/ua/user-agreement, the terms and conditions of the Confidentiality Policy that is located at http://savearmyman.com/ua/confidential-agreement and other rules adopted by the Platform.
2.2. If the Participant does not agree with the terms and conditions of the Rules, the terms and conditions of the Participant Agreement, the terms and conditions of the Confidentiality Agreement (fully or partially) – such a Participant is forbidden to make use of the Platform, including but not limited to, any information published on the Platform and any functions and services that are provided via SAM Platform.
2.3. The Organization publishes on the Platform Strong Ideas of SAM Authors with the aim of collection and accumulation of charitable contributions of SAM Volunteers for their further transfer to the Strong Idea chosen by SAM Volunteer.
2.4. The Organization does not force anyone to make contributions. All the contributions are made voluntarily.
3. The terms and conditions of registration and publication of a Project
3.1. In order to register a Project on SAM Platform, SAM Author has to complete an Application Form. Every question of the Application Form that the Author has to give a reply to, is accompanied with a corresponding explanation. Thus, the Organization strongly recommends the Author to get acquainted with the content of these explanations.
3.2. The Author guarantees that information about the Project that he provides to the Organization, including via completion of the Application Form, is complete, legitimate and credible.
3.3. SAM Platform neither reviews nor publishes the Projects of lethal nature and/or those related to:development and modernization of cold weapons and firearms; modernization of grenades, mines, torpedoes, missile systems, etc., aimed at destruction of vehicles and personnel; means of aiming, guidance and destruction of targets; development and modernization of any kinds of nuclear, chemical and bacteriological weapons of mass destruction; other inventions related to potential infliction of casualties among military personnel and civilians; inventions in the field of military pharmacy.
3.4. SAM Platform does not publish Projects that don't have a clear-cut and well-structured plan of implementation.
3.5. If the Author of a Strong Idea offers a reward to SAM Volunteers for making charitable contributions or for any other actions, he is under obligation to indicate on the Platform a detailed description of the respective reward, as well as the conditions and time intervals of its provision. All the expenses related to such rewards are payed individually by the Author of a Strong Idea and are not refunded by the Organization.
3.6. The Organization reserves the right to request additional information and materials (including the copies of the necessary documents) related to implementation of the Project. The Author is under obligation to provide the above-mentioned information within 5 (five) days of the sending of the respective request by the Organization to the Author.
3.7. The final decision regarding the publication of the Project on the Platform is made by the Organization. The Organization has the right to decline the Author's request for publication of the Project on the Platform, or delete an already registered SAM Strong Idea and withdraw the already published SAM Strong Idea in case the Author violates the terms and conditions of the present Rules, the terms and conditions of the Participant Agreement, the terms and conditions of the Confidentiality Agreement and/or the norms of the current legislation.
3.8. In the event of a decision of the Organization to publish a Project on SAM Platform, a separate preliminary Agreement is concluded between the Organization and the Author. The text of the Agreement concluded between the Organization and the Author might be published on the Platform.
3.9. SAM Strong Idea published on the Platform might only be deleted by the decision of the Organization.
4. Financial Provisions of the Project
4.1. It is the responsibility of the Author himself to choose the total sum of monetary funds necessary for the implementation of the Project, as well as the time interval required to raise the above-mentioned funds via SAM Platform and/or the Organization. Upon the publication of SAM Strong Idea on the Platform, the Author of a Strong Idea cannon change the total sum of monetary funds to be raised and the time interval of the fundraising campaign.
For Charitable Ideas and SAM Business Ideas, the Platform has set different rules related to fundraising:
For Charitable Ideas, fundraising does not stop upon reaching the monetary goal if the time interval of the fundraising campaign chosen by the Author SAM Strong Idea is yet to have expired.
For Business Ideas, the fundrasing does stop upon reaching the requested sum even if the time interval of the fundraising campaign is yet to have expired.
Setting different rules related to fudraising owes itself to the fact that a Business Idea is basically a business plan upon which SAM Author forms a specific monetary goal required for implementation of a SAM Strong Idea in order to gain profit.
4.3. In order to raise funds for a Business Idea, SAM Author might set a numeric barrier – a sum of a contribution that a SAM Volunteer will not be able to transfer to the chosen Strong Ideas via the acquiring service available on the Platform. Upon publication of a Strong Idea on the Platform, SAM Author cannot change the above-mentioned numeric barrier. The necessity to set a numeric barrier results from the possible limitations of acquiring systems.
In the event of the existence of a numeric barrier in a Business Idea, SAM Volunteer either makes a contribution in the amount not exceeding the numeric barrier, or, via a special function available on SAM Platform, confirms his desire to reinforce a Business Idea with a sum that equals to or exceeds the determined numeric barrier. In the event of performance of the above-mentioned confirmation, SAM Volunteer changes his status to SAM Businessman. Subsequently, he is contacted by the Moderator of the Platform in order to manage further steps aimed at securing a guaranteed contribution to the specific Project. Securing a guaranteed contribution to SAM Businessman is performed on the basis of a separate Agreement that is concluded between the Organization and SAM Businessman. The fact of securing of a guaranteed contribution to SAM Businessman is displayed in Project settings.
4.4. SAM Author will receive the funds raised by the Organization from SAM Volunteers only in case a Strong Idea has raised the full amount of monetary funds via the Platform and/or the Organization within the fixed time interval of the fundraising campaign set for this specific Strong Idea. The funds raised will be transferred to SAM Author upon signing a Grant Provision Agreement concluded between the Organization and SAM Author.
4.5. In the event of transferring monetary funds to SAM Author according to the Article 4.4. of the present Rules, the Organization independently charges 10% out of this sum as an administrative expenses that include payment systems fees and expenses for development of the Platform and promotion of its Philosophy.
4.6. Transfer of the funds raised by the Organization to the account of SAM Author might be performed in full via one transaction, or via a couple of separate transactions and on condition of the intended use of the funds that is confirmed by SAM Author by providing the corresponding payment documents. More specific terms and conditions are determined by the Organization and SAM Author in the Grant Provision Agreement.
4.7. In the event of a payout of the contributions to SAM Author, the Organization has the right to deduct out of the sum all the necessary taxes and fees that the Organization is obliged to pay in respect of the payout of contributions as a tax agent (for instance, individual income tax, if the recipient of the monetary funds is a physical person, etc.). If, according to the current legislation, when receiving monetary funds a direct payment of taxes and fees is an obligation of the SAM Author himself, he undertakes a responsibility to pay all the necessary taxes and fees from the received funds timely and completely.
4.8. If a SAM Strong Idea has not raised the necessary amount of monetary funds within the fixed time interval, the contributions made by SAM Volunteers shall be returned to their respective accounts – “Money at call” of the SAM Volunteers that have made their contributions –and can be redirected completely or partially (without deduction of any fees or administrative expenses) individually by the SAM Volunteer to reinforce other projects available on the Platform.
4.9. If the SAM Strong Ideas has not raised the requested sum of monetary funds within the fixed time interval, and the SAM Volunteer has not expressed his desire to reinforce any other Strong Ideas and sent a refund request – the respective contribution, made via payment system available on the Platform, shall be returned to SAM Volunteer (with possible payment system commission deducted) within six months of the time interval set by the Author of a SAM Strong Idea for his fundraising campaign.
4.10. If a SAM Business Idea has not raised the required sum of monetary funds within the fixed time interval, the Guaranteed Contribution is returned to the respective accounts – “Money at call” of the SAM Businessmen.
4.11. All the contributions made by the Participants are considered to be a target charitable assistance. Before making a contribution to reinforce a SAM Strong Idea, the Participant is obliged to get acquainted with the terms and conditions of the Project available on the webpages of SAM Platform.
4.12. The contributions to reinforce SAM Strong Ideas are made by the Participants via payment systems according to the rules established by the respective payment systems. When making contributions, the Participants are not making payments to the Platform, but are reinforcing a Strong Idea of a specific Author, unless directly indicated otherwise.
5. Rights and Responsibilities
5.1. The Participant has the right to:
– register and submit for review of the Organization Projects with the purpose of their further publication on SAM Platform;
– utilize all the benefits of the SAM Platform provided by the Organization;
– make contributions to reinforce any SAM Strong Idea of one's choice;
– provide any kind of assistance to the Platform.
5.2. It is forbidden for the Participants to publish any payment details on SAM Platform that might result in a transfer of contributions against the algorithm established by the Organization and/or beyond the specialized bank account of the Organization. The Organization bears no responsibility and does not guarantee the receipt of the above-mentioned contributions by the Authors of SAM Strong Ideas and their refund to the Participants.
6. Liability Restrictions
6.1. The Organization bears no responsibility before the Participants or third parties for any obligations of the Author of a SAM Strong Idea related to the possibility of receipt of any rewards by SAM Volunteers or SAM Businessmen for making contributions or performing any other actions.
6.2. The Organization does not refund any damage inflicted upon the Participant or upon third parties as a result of usage of SAM Platform and/or participation of anyone in SAM Strong Idea available on the Platform.
6.3. The Organization does not undertake any responsibilities related to verification, editing or monitoring information that accompanies SAM Strong Ideas published on the Platform. The Organization does not guarantee and does not bear any responsibility for the authenticity of such information, its legitimacy, quality and correspondence to the specific requirements and needs of the Participants of the Platform.
6.4. The Organization does not guarantee the correspondence of the Platform and SAM Strong Ideas to the objectives and expectations of the Participant.
6.5. In the event of usage of the Platform and/or in the event of participation in SAM Strong Idea, the Participant bears an individual responsibility before third parties for his activity or lack of activity.
6.6. The Organization bears no responsibility for the damage and losses inflicted upon the Participant or upon the third parties as a result of a misinterpretation or misunderstanding of the terms and conditions of a Strong Idea, of the current Rules, Agreements, instructions or tips. Before participating in a Strong Idea and/or before accepting the terms and conditions of the current Rules, Agreements, instructions, any Participant has the right to address the Organization in order to receive clarifications related to the terms and conditions of a Strong Idea and/or the terms and conditions of the current Rules, Agreements, instructions, etc. If the Participant accepts the terms and conditions of a Strong Idea and/or the Rules of SAM Platform and/or the terms and conditions of other Agreements, he confirms that all the provisions of a Strong Idea, of the Rules and Agreements are completely comprehensible for him.
7.1. The Participant confirms that he has read and acknowledged and completely agrees with the terms and conditions of the Confidentiality Policy between the Participant and the Organization that is located at the following address: http://savearmyman.com/ua/confidential-agreement.
8. Other Provisions
8.1. The services and functions of SAM Platform are provided to the participant free-of-charge. However, this does not preclude introduction of separate fee-based functions (services) or other financial interactions between the Participant and the Platform or between the Participant and other Participants.
8.2. The Organization has the right to introduce changes (appendices) to the Rules of SAM Platform without any previous and special notification of the Participant. All the changes (appendices) introduced to the Rules of SAM Platform come into force upon their publication.
8.3. The current Rules of SAM Platform are an open and public-access document. The current edition of the Rules is located on the Platform at the following address: http://savearmyman.com/ua/page/basic-rules. The Administration strongly recommends the Participant to always check the terms and conditions of the present Confidentiality Policy for any changes and/or appendices while visiting the Platform and/or before using its functions and features. In the event of non-consent with a new version of the Confidentiality Policy, the Participant is under obligation to cease the use of the services and/or features and functions of the Platform. If the Participant, after the entry of a new edition of the Confidentiality Policy into force, continues to visit the Platform and/or to use the services, features and functions of the Platform, it means that the Participant has approved the changes (appendices), agrees with them, and thus they are compulsory for the Participant to comply with.
8.4. At any moment in time and without any previous notification, the Organization possesses the right to yield its rights according to the current Rules (fully or partially) in favor of a third party. The Author of SAM Strong Idea does not possess the right to yield his rights and responsibilities according to the current Rules without a previous written consent of the Organization.
8.5. The current Rules and relationships between the Organization and the Participant are governed by legislation of Ukraine. Both parties agree upon the fact that the respective courts of Ukraine possess an exceptional jurisdiction regarding any kind of claims, disputes or differences related to the Rules of SAM Platform.
